Terms of Service

These Terms of Service ("Terms") govern your access to and use of EUcomply ("the Service"), operated by EUcomply ("we", "us", or "our"). By installing the Shopify app or otherwise using the Service, you agree to be bound by these Terms.

1. Service Description

EUcomply is a Software-as-a-Service platform that helps cross-border e-commerce sellers comply with three EU regulations:

  • Generates GPSR-compliant safety documents in EN/DE/FR/IT/ES per Regulation (EU) 2023/988 Article 9
  • Maintains a Responsible Person registry per GPSR Article 16
  • Calculates per-SKU customs duty for the post-2026-07-01 EU regime
  • Aggregates VAT data per EU member state for IOSS monthly returns
  • Integrates with Shopify via the App Store

2. Pricing and Billing

2.1 Plans

2.2 Free Trial

The Growth and Scale plans include a 14-day free trial. The Starter plan has no trial as it is already the entry tier. Cancellation during the trial incurs no charge.

2.3 Payment Terms

  • All payments are processed securely through Stripe
  • Monthly subscriptions are billed on the same calendar day each month
  • Prices are in USD and exclude applicable taxes (VAT may be added for EU customers)
  • Failed payment attempts will be retried up to 3 times over 7 days

2.4 Refunds

  • Starter plan: refundable within 7 days of the first paid month if no IOSS reports have been generated
  • Growth and Scale plans: the 14-day trial functions as the evaluation period; no refunds for partial months thereafter. You may cancel at any time and access continues to the end of the billing period

2.5 Price Lock

The price you sign up at is locked for 12 months from your first paid invoice. After 12 months we may adjust pricing with 30 days' written notice.

3. Acceptable Use

You agree not to:

  1. Use the Service to commit fraud, evade customs duty, or misrepresent product safety information
  2. Submit false manufacturer details, fake Responsible Person addresses, or forged compliance certificates
  3. Reverse engineer, decompile, or disassemble any part of the Service
  4. Use automated scripts, bots, or scrapers outside of provided APIs and rate limits
  5. Resell, sublicense, or redistribute EUcomply outputs as a competing service
  6. Use the Service in violation of any applicable law (EU, member-state, or your home jurisdiction)

4. Compliance Disclaimer

Important: EUcomply provides software tools to assist with EU compliance. It does not provide legal advice. The seller of record remains the legal duty payer and is ultimately responsible for compliance with all applicable EU regulations.

  • Duty calculations rely on the EU TARIC database and the Council Decision text effective 2026-07-01. We do not guarantee the EU will not amend these rates
  • GPSR safety document templates reference the published Regulation (EU) 2023/988 text. Member-state implementation may vary; consult local counsel for high-risk product categories
  • IOSS reports are aggregations only. Filing the actual IOSS return with your fiscal intermediary remains your responsibility
  • EUcomply is not a customs broker, fiscal representative, or law firm

4.1 Calculation Guarantee (Growth and Scale plans only)

If a parcel is held by EU customs solely due to a demonstrable EUcomply mis-calculation, we will reimburse the customs reconciliation fee up to EUR 50 per parcel, capped at EUR 500 per calendar month per account. The guarantee does not apply to mis-classification caused by incorrect HS codes or product data submitted by you.

5. Intellectual Property

5.1 Our Property

The Service, including its design, algorithms, document templates, scoring methodology, UI, documentation, and branding, is owned by EUcomply and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

5.2 Your Content

You retain ownership of all product data, manufacturer information, and compliance records you submit. By using the Service, you grant us a limited license to process this data solely for the purpose of delivering the Service to you.

5.3 Generated Documents

You own the GPSR safety documents, IOSS CSV reports, and duty calculations generated for your account. You may use them for your business purposes including filing with EU authorities.

6. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials and Shopify app permissions
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for the accuracy of product, manufacturer, and Responsible Person data submitted
  • Multi-store Scale plan accounts are responsible for managing sub-store access appropriately

7. Service Availability

  • We target 99.9% monthly uptime but do not guarantee uninterrupted service
  • Scheduled maintenance windows will be communicated in advance
  • EU TARIC database, Shopify, or Stripe outages are beyond our control and may temporarily affect functionality
  • We reserve the right to modify, suspend, or discontinue features with at least 30 days' notice

8. Termination

8.1 By You

You may cancel your subscription at any time from the EUcomply admin or by uninstalling the Shopify app. Cancellation takes effect at the end of the current billing period.

8.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or abusive behavior
  • Fail to pay after repeated billing attempts
  • Use the Service to circumvent EU customs or tax obligations

8.3 Effect of Termination

Upon termination, your access to the Service will cease. Compliance records required by EU law (GPSR 10-year, IOSS 10-year) remain accessible via export for 90 days post-termination, after which they are deleted in accordance with our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, EUcomply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, customs penalties, customer chargebacks, or data, arising out of or related to your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, except where the Calculation Guarantee in Section 4.1 explicitly applies.

10. Indemnification

You agree to indemnify and hold harmless EUcomply from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any EU customs, VAT, or product safety regulation.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany (an EU member state), excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Where you are a consumer habitually resident in another EU member state, you retain the protection of mandatory provisions of the law of that member state under Regulation (EU) No 593/2008 (Rome I).

Exclusive place of jurisdiction for disputes between merchants is Berlin, Germany, to the extent permitted by law. Either party may also bring proceedings in any court of competent jurisdiction.

Online Dispute Resolution (ODR). The European Commission provides an Online Dispute Resolution platform under Regulation (EU) No 524/2013, accessible at ec.europa.eu/consumers/odr/. Our email for ODR-related correspondence is legal@eucomply.app. EUcomply is not obliged and does not commit to participate in alternative dispute resolution before a consumer arbitration board (§ 36 VSBG, Germany).

12. Changes to These Terms

We reserve the right to modify these Terms. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
