These Terms of Service ("Terms") govern your access to and use of EUcomply ("the Service"), operated by EUcomply ("we", "us", or "our"). By installing the Shopify app or otherwise using the Service, you agree to be bound by these Terms.
EUcomply is a Software-as-a-Service platform that helps cross-border e-commerce sellers comply with three EU regulations:

The Growth and Scale plans include a 14-day free trial. The Starter plan has no trial as it is already the entry tier. Cancellation during the trial incurs no charge.
The price you sign up at is locked for 12 months from your first paid invoice. After 12 months we may adjust pricing with 30 days' written notice.

Important: EUcomply provides software tools to assist with EU compliance. It does not provide legal advice. The seller of record remains the legal duty payer and is ultimately responsible for compliance with all applicable EU regulations.
If a parcel is held by EU customs solely due to a demonstrable EUcomply mis-calculation, we will reimburse the customs reconciliation fee up to EUR 50 per parcel, capped at EUR 500 per calendar month per account. The guarantee does not apply to mis-classification caused by incorrect HS codes or product data submitted by you.
The Service, including its design, algorithms, document templates, scoring methodology, UI, documentation, and branding, is owned by EUcomply and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.
You retain ownership of all product data, manufacturer information, and compliance records you submit. By using the Service, you grant us a limited license to process this data solely for the purpose of delivering the Service to you.
You own the GPSR safety documents, IOSS CSV reports, and duty calculations generated for your account. You may use them for your business purposes including filing with EU authorities.
You may cancel your subscription at any time from the EUcomply admin or by uninstalling the Shopify app. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your account if you:
Upon termination, your access to the Service will cease. Compliance records required by EU law (GPSR 10-year, IOSS 10-year) remain accessible via export for 90 days post-termination, after which they are deleted in accordance with our Privacy Policy.
To the maximum extent permitted by law, EUcomply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, customs penalties, customer chargebacks, or data, arising out of or related to your use of the Service.
Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, except where the Calculation Guarantee in Section 4.1 explicitly applies.
You agree to indemnify and hold harmless EUcomply from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any EU customs, VAT, or product safety regulation.
These Terms are governed by the laws of the Federal Republic of Germany (an EU member state), excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Where you are a consumer habitually resident in another EU member state, you retain the protection of mandatory provisions of the law of that member state under Regulation (EU) No 593/2008 (Rome I).
Exclusive place of jurisdiction for disputes between merchants is Berlin, Germany, to the extent permitted by law. Either party may also bring proceedings in any court of competent jurisdiction.
Online Dispute Resolution (ODR). The European Commission provides an Online Dispute Resolution platform under Regulation (EU) No 524/2013, accessible at ec.europa.eu/consumers/odr/. Our email for ODR-related correspondence is legal@eucomply.app. EUcomply is not obliged and does not commit to participate in alternative dispute resolution before a consumer arbitration board (§ 36 VSBG, Germany).
We reserve the right to modify these Terms. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
